Description of content and objectives

The seminar aims to outline the national and international regulations applicable to contracts for the purchase of goods from abroad (sub-contracting, sale and purchase, procurement, supply, OEM, toll manufacturing), and to illustrate the specific issues of procurement and the supply chain abroad through a checklist of the main contents of international procurement contracts and the presentation of a model for general terms and conditions of purchase for foreign markets.

Finally, the seminar will touch upon issues relating to the resale in Italy and the European Union of products manufactured entirely or partially abroad ("made in").

Applicable law and dispute resolution in international purchase contracts

International sale and purchase and the 1980 Vienna Convention on Contracts for the International Sale of Goods: obligations of the supplier and the buyer, remedies in the event of non-performance

Industrial sub-contracting under Italian law (Law no. 192/98): contract form, payment terms, sub-contractor liability and risk management, abuse of economic dependence, dispute resolution (mandatory conciliation and arbitration protection)

Analysis of a checklist of the contents and main clauses of a model for general terms and conditions of purchase for foreign markets

The origin of goods and issues regarding the resale in Italy and the European Union of products manufactured entirely or partially abroad ("made in"): an overview
