Description of content and objectives

By 11 December 2023, companies with legal personality—namely all limited companies, private legal entities, and trustees of trusts or similar legal arrangements established by 9 October 2023—must identify their beneficial owner and notify the Business Register of these details.

The identification of the beneficial owner (or owners) must be carried out in accordance with the provisions of Article 20 of Legislative Decree no. 231/2007, which sets out a specific and clear "tiered" path of criteria to be applied. Although simple in their formulation, these criteria remain the subject of significant interpretative doubt.

To explore the criteria for identifying the beneficial owner and the operational aspects of reporting to the Register, the Tax and Corporate Law Department and the Credit and Finance Department of Confindustria Bergamo, in collaboration with Gianni & Origoni, are organising a webinar.

Programme

The topics to be covered during the webinar are as follows:

• Beneficial owners of limited companies;
• Specific cases of beneficial ownership: corporate chains;
• The liability of directors in identifying beneficial owners;
• Corporate compliance requirements regarding the identification of the beneficial owner;
• Notifications to the Business Register and other practical requirements;
