US tariffs: legal profiles for the protection of companies in B2B relationships

Description of content and objectives

Confindustria Lombardia, as part of the activities of the Enterprise Europe Network, is organising a webinar entitled "US Tariffs: Legal frameworks for protecting businesses in B2B relationships" scheduled for Wednesday 16 April at 09:30.

The current international trade landscape, marked by the tightening of US import tariffs, presents significant challenges for companies exporting to the American market.

While opening a local branch or making a production investment may, in some cases, be a way to circumvent tariff impositions, these are not always viable solutions for economic or strategic reasons. However, there are effective contractual tools that allow for the distribution of risk arising from new tariff barriers without the need to restructure the entire production model.

The webinar aims to illustrate the legal solutions available to companies for managing the impact of tariffs through contractual negotiation tools, with reference to both existing contracts and new ones.

Particular attention will be paid to strategies for managing potential litigation risks resulting from non-compliance due to the imposition of tariffs, given the alteration of the final consideration to be paid. These strategies will be in compliance with the applicable Italian or US regulations, which vary depending on the type of contract and the manner in which the agreement was finalised (via an ad hoc contract, the exchange of tax and commercial documents, or terms & conditions).

The topics covered will be as follows:

1. Analysis of the legal framework of the relationship, with reference to:

  • methods of contract conclusion;
  • the type of contract;
  • any applicable conflict of law provisions;
  • other elements characterising the operations of the parties involved.

2. Remedies and possible solutions for managing existing B2B contractual relationships, in light of the findings of the review conducted, pursuant to:

  • US federal and state regulations;
  • Italian regulations;
  • any applicable international treaty provisions;
  • the principles and customs of international trade.

3. Precautions and suggestions for governing future contractual relationships, with regard to:

  • the negotiation and price-setting phase;
  • strategic clauses to be used during the contractual phase;

  • il rischio di contenzioso e dei relativi effetti, in termini di spese e di riconoscimento del provvedimento.

4. Consigli per orientare le decisioni in materia di choice of Law, conflict of Laws e dispute resolution methods in materia di:

  • Vendita e Fornitura;
  • Distribuzione e Franchising;
  • Outsourcing e Appalto;
  • Altri contratti frequentemente utilizzati nei rapporti d’impresa.

L’evento è rivolto in modo particolare a imprenditori, account manager, export manager, risk manager, credit manager, in-house lawyer e, più in generale, a tutti i responsabili aziendali interessati a conoscere come affrontare i rapporti d'impresa con le controparti statunitensi senza dover ricorrere a radicali trasformazioni della propria struttura produttiva e commerciale.
