Description of content and objectives

Internationalisation, or the tendency of businesses to relocate production and distribution to foreign markets, can expose them to the risk of an undisclosed permanent establishment.

The creation of a permanent establishment abroad is not always a deliberate decision by an Italian company, but often depends on the nature of the activities performed. Tax authorities are frequently vigilant in verifying whether a foreign presence constitutes a "permanent establishment", as such entities are subject to tax in the foreign state on income generated there. A permanent establishment may be created in a foreign state through a fixed place of business (a physical presence) or through a dependent agent (where individuals have the authority to conclude contracts in the name of and on behalf of the Italian company). A thorough examination of the factual situation and the activities actually carried out abroad is essential to avoid incurring significant penalties for the failure to tax income generated abroad.

This meeting aims to analyse the various scenarios in which Italian companies operating abroad through assembly or construction sites, maintenance activities, dependent agents, warehouses, or representative offices may inadvertently create an undisclosed permanent establishment. In an era of globalisation, alongside risks, there are significant opportunities for growth and development that must be identified, understood, and seized, without underestimating the associated tax risks.
